Welcome to the UK website for Groundworks. Please read these terms of service carefully before using this site. Thank you.

 

This site is operated by Groundworks Graduates Limited (Groundworks, the platform, we, our or us). Groundworks is registered in England and Wales with company number 11529547. Our registered office is at 12 Cowley Street, London SW1P 3LZ. 

 

These terms of service (the “terms”, “terms and conditions” or the “agreement”) govern your use of our UK website at wearegroundworks.co.uk, including any content or services offered through Groundworks Graduates Limited.

 

By using our site, registering an account or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms of Service and our Privacy Policy you confirm that you accept these terms and that you agree to comply with them. If you do not agree to them, you must not use our site.

 

1. Key Terms

 

1.1 ‘Client Organisations’, ‘Employers’, ‘Clients’, ‘Buyers’ are terms referring to the parties purchasing services on the Groundworks platform. 

 

1.2 ‘Students’, ‘Student Freelancers’, ‘Freelancers’, ‘Graduates’, ‘Groundworkers’ are terms referring to the parties selling services.

 

1.3 ‘Project’, ‘Task’, ‘Job’, ‘Brief’ are terms that refer to service requests from Client Organisations. 

 

1.4 ‘Candidate’, ‘Job Seeker’ are terms that refer to parties hoping to gain full-time employment from the Groundworks platform.

 

2. Our Services 

 

2.1 The intended use of Groundworks is for Client Organisations to be introduced to potential future employees (Student Freelancers) and to test them by assigning them Projects. When you use our Website and Platform, you will be providing us with personal data about you. You can see how we use personal data by going to our Privacy Policy. The Website contains features that enable Students and Clients to do, among other things, the following:

Clients: Create profiles, post projects, search for Students, communicate with Student Freelancers, assign projects to Student Freelancers, manage projects, leave feedback for Student Freelancers, and pay Student Freelancers. This includes representatives (i.e. recruiters and/or other third parties acting on behalf of an Employer).

Student Freelancers: Create profiles, submit personal details, be awarded projects, complete projects, obtain feedback from Client Organisations and receive payment from Client Organisations.

 

2.2 Information and content that you share or post may be seen by other users of the Services or, if public, general visitors to the Site. As part of the Services, we also provide various website solutions for our users, including networking and direct messaging in real time. You may use the Services for your personal and business use as long as you are in compliance with all provisions of this Agreement.  

 

2.3 For purposes of this Agreement, “Content” means all content contained in the Site and Services that wearegroundworks.co.uk owns or has rights to use, display, publish or otherwise process (as described below) including all text, images, designs, graphics, information, logos, downloadable content, software and any other content contained therein and all related patents, copyrights, trademarks, service marks, intellectual property and/or other proprietary information of Groundworks Graduates Ltd.

 

2.4 The Services may include certain paid features (Account Subscription Fees, Posting Fees, Transaction Fees, or Recruitment Fees) that you may purchase as a part of a membership or subscription program offered by us. If you purchase such a feature, you agree to pay us the applicable fees and taxes. Failure to pay these fees may result in the termination of such feature or subscription. 

 

2.5 We reserve the right, in our sole and absolute discretion, to modify, replace, refuse access to, suspend or discontinue the Site or the Services, partially or entirely, or change and modify prices for all or part of the Services for you or for all our users at any time without prior notice. You agree that we will not be liable to you or any third party for any such modifications, suspensions or discountenance of the Site or the Services, or any part thereof. We further reserve the right to withhold, remove and or discard any of Your Content available as part of your Account, with or without notice if deemed by us to be contrary to this Agreement or a violation of law. We have no obligation to store, maintain or provide you a copy of any content that you or others provide when using the Services, except to the extent required by applicable law. 

 

2.6 It is your obligation to ensure that you fully comply with all applicable laws, regulations and directives with regard to the use of the Site and the Services. For the avoidance of doubt, the ability to access our Site or the Services does not necessarily mean that your use thereto are legal under relevant laws, regulations and directives.

 

2.7 As part of the Services and upon your request, we may change and modify prices for all or part of the Services for you or for all our users at any time without prior notice. You agree that we will not be liable to you or any third party for any such modifications, suspensions or discountenance of the Site or the Services, or any part thereof. We further reserve the right to withhold, remove and or discard any of Your Content available as part of your Account, with or without notice if deemed by us to be contrary to this Agreement or a violation of law. We have no obligation to store, maintain or provide you a copy of any content that you or others provide when using the Services, except to the extent required by applicable laws. 

 

2.8 For as long as we continue to offer the Services, we will provide and seek to update, improve and expand the Services. As a result, we allow you to access the Service as it may exist and be available on any given day and have no other obligations, except as expressly stated in this Agreement. We may modify, replace, refuse access to, suspend or discontinue the Service, partially or entirely, or change and modify prices for all or part of the Services for you or for all our users in our sole discretion. All of these changes shall be effective upon their posting on our site or by direct communication to you unless otherwise noted. We further reserve the right to withhold, remove and or discard any of Your Content available as part of your Account, with or without notice if deemed by us to be contrary to this Agreement. For avoidance of doubt, we have no obligation to store, maintain or provide you a copy of any content that you or others provide when using the Service. 

 

3. General Terms

 

3.1 Groundworks reserves the right to put any account on hold or permanently disable accounts due to breach of these Terms of Service or due to any illegal or inappropriate use of the Site or services.

 

3.2 Violation of Groundworks's Terms of Service may get your account disabled permanently.

 

3.3 Users with disabled accounts will not be able to use any services provided by wearegroundworks.co.uk. 

 

3.4 Users who have violated our Terms of Service and had their account disabled may contact our Customer Support team for more information surrounding the violation and status of the account.

 

3.5 Users must be able to verify their account ownership through Customer Support by providing materials that prove ownership of that account.

 

3.6 Disputes should be handled by contacting Groundworks customer support. 

 

3.7 Groundworks may make changes to its Terms of Service from time to time. When these changes are made, Groundworks will make a new copy of the terms of service available on this page.

 

3.8 You understand and agree that if you use Groundworks after the date on which the Terms of Service have changed, Groundworks will treat your use as acceptance of the updated Terms of Service.

 

4. Violations

 

4.1 Users may receive a warning to their account for violations of our Terms of Service or any user misconduct reported to our Trust and Safety team. A warning will be sent to the user's email address. Warnings do not limit account activity, but can lead to your account losing Freelancer status or becoming permanently disabled based on the severity of the violation.

 

4.2 Non-Permitted Usage

Adult Services & Pornography - Groundworks does not allow any exchange of adult oriented or pornographic materials and services.

Inappropriate Behavior & Language - Communication on Groundworks should be friendly, constructive, and professional. Groundworks condemns bullying, harassment, and hate speech towards others. We allow users a medium for which messages are exchanged between individuals, a system to rate Projects, and to engage on larger platforms such as our Social Media pages.

Phishing and Spam - Any attempts to publish or send malicious content with the intent to compromise another member’s account or computer environment is strictly prohibited. Please respect our members privacy by not contacting them with anything which is not directly related to their projects.

Privacy & Identity - You may not publish or post other people's private and confidential information. Any exchange of personal information required for the completion of a service must be provided in the Brief. Students further confirm that whatever information they receive from the Client Organisation, which is not public domain, shall not be used for any purpose whatsoever other than for the delivery of the work to the Client. Any users who engage and communicate outside of Groundworks will not be protected by our Terms of Service.

Authentic Groundworks Profile - You may not create a false identity on Groundworks, misrepresent your identity, create a Groundworks profile for anyone other than yourself (a real person), or use or attempt to use another user’s account or information; Your profile information, including your description, skills, location, etc., must be accurate and complete and may not be misleading, illegal, offensive or otherwise harmful.

Intellectual Property Claims - Groundworks will respond to clear and complete notices of alleged copyright or trademark infringement, and/or violation of third party’s terms of service. 

Fraud / Unlawful Use - You may not use Groundworks for any unlawful purposes or to conduct illegal activities.

 

5. Limitation of our Liability  

 

5.1 Nothing in these terms of use excludes or limits our liability for death or personal injury arising from our negligence, our fraud, our fraudulent misrepresentation or any other liability that cannot be excluded or limited by English law. To the extent permitted by law, we exclude: all conditions, warranties, representations and other terms 

which may apply to our site or any content on it, whether express or implied.

 

5.2 We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with: use of, or inability to use, our site; use of or reliance on any content displayed on our site. If you are a business user, please note that in particular, we will not be liable for: loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings;

loss of business opportunity, goodwill or reputation;

any indirect or consequential loss or damage.

 

5.3 We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack orother technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any content on it, or on any website linked to it. We assume no responsibility for the content of websites linked on our site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them. Different limitations and exclusions of liability will apply to liability arising as a result of the supply of any goods by use to you, which will be set out in our ‘Ordering a project’ section.

 

6. Viruses

 

6.1 We do not guarantee that our site will be secure or free from bugs or viruses.

 

6.2 You are responsible for configuring your information technology, computer programmes and platform in order to access our site. You should use your own virus protection software.

 

6.3 You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990.

We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

 

7. Linking to Our Site

 

7.1 You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

 

7.2 You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

 

7.3 Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page.

 

7.4 We reserve the right to withdraw linking permission without notice.

 

7.5 The website in which you are linking must comply in all respects with the content standards set out above.

8. Applicable Law

 

8.1 If you are a consumer, please note that these terms of use, its subject matter and its formation, are governed by English law. You and we both agree to that the courts of England and Wales will have non-exclusive jurisdiction. However, if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland. If you are resident of Scotland, you may also bring proceedings in Scotland.

 

8.2 If you are a business, these terms of use, its subject matter and its formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

 

9. Content

 

9.1 Groundworks accepts no responsibility for the content or accuracy of any such Curriculum Vitae.

 

9.2 Client Organisations agree to not include personal contact information within their job advertisements or project briefs. Groundworks reserves the right to edit any job advert information and exclude members who do not comply.
